Partner Programme Terms

These terms govern the Athena referral partner programme. Applying does not guarantee admission. We review every application individually against the programme criteria below.

1. Programme operator and admission

The programme is operated by Hector Solutions, Inc., doing business as Athena Wholesale, at 169 Madison Ave, STE 15789, New York, NY 10016. We review each applicant individually and may approve, reject, pause or terminate participation based on fit, promotion methods, compliance history and programme risk. No exclusivity or minimum referral volume is promised or required.

2. Standard commission

Unless we confirm different commercial terms to you in writing, the standard rate is 1.2% of the qualifying merchandise basis on eligible orders placed during a referred customer's first 12 calendar months. The customer term begins when their referral is recorded at verified account application. VAT, sales tax, shipping, labelling and other service charges do not form part of the qualifying basis.

Commission is earned only on settled amounts we retain. Cancelled, unpaid, fraudulent, charged-back and refunded amounts do not qualify; partial refunds reduce commission proportionately. We may correct calculation errors and offset overpayments against later amounts.

3. Attribution

A prospective customer who follows your link may be attributed to you if they submit a verified account application within 90 days. First valid referral touch wins. Existing customers, duplicate applications, self-referrals and traffic already attributed to another partner do not qualify. Attribution is recorded for audit even after the commission term ends; that record does not extend eligibility.

4. Promotion and disclosure rules

Every placement must make the commercial relationship clear and conspicuous near the link—for example, “I may earn commission if you apply or order through this link.” You must describe the programme and likely customer outcomes accurately, use only approved brand assets, and comply with advertising, privacy, anti-spam and endorsement rules in every country where you promote.

You must not send unsolicited bulk messages; impersonate us; promise acceptance, savings, stock or earnings; bid on our brand name or confusing variants in paid search; use cookie stuffing, hidden redirects or misleading incentives; or publish confidential portal pricing. We may ask for placement URLs and require edits or removal.

5. Payouts, tax and records

Approved partners complete Stripe-hosted onboarding. Stripe holds payout and identity information; we do not receive full bank details. Payout timing can depend on validation, refund exposure and Stripe availability. You are responsible for your taxes, filings and the accuracy of information supplied to us or Stripe. Our order, refund, attribution and payout records control calculation disputes unless shown to be wrong.

6. Changes and termination

We may change the programme prospectively by giving notice. Existing order snapshots are not rewritten merely because future commercial terms change. Either party may end participation at any time. Termination disables new referrals; valid commission already earned remains payable subject to refund, chargeback, fraud and legal holds. Material deception, abuse or unlawful promotion may cause immediate suspension and forfeiture of affected commission.

7. General

You are an independent contractor, not our employee, agent, franchisee or representative and cannot bind us. To the extent permitted by law, neither party is liable for indirect or consequential loss. These programme terms are governed by the same law and dispute provisions as our Terms of Service.
